1. Parties and Agreement

1.1 These Terms govern your use of the HVAC Flat Rate Pricing Software tool and the website hvacflatratepricingsoftware.com (“Service”), operated by Yassine Rajallah, Bergener Str. 12, 10439 Berlin, Germany (“we”, “us”).

1.2 By using the Service you accept these Terms. If you do not agree, do not use the Service.

1.3 The Service is intended for businesses and tradespeople (Unternehmer within the meaning of § 14 BGB). Mandatory consumer rights are not affected where they apply.

2. Description of Service

2.1 HVAC Flat Rate Pricing Software is a free tool that runs in your web browser. It lets you build a flat rate price book, write quotes with good, better and best options, capture an on-screen signature, create invoices, print them and export CSV and backup files.

2.2 The Service has no account, no server-side storage and no cloud sync. All data you enter is stored only in your browser on your device (see the Privacy Policy).

2.3 The Service does not process payments, does not file or calculate taxes on your behalf, and has no live connection to QuickBooks or any other accounting system. CSV files are provided for you to import yourself.

2.4 We may change, extend or discontinue features at any time. Because the tool runs on your device, a copy you have already loaded may keep working offline until your browser updates it.

3. Free Use

3.1 The Service is provided free of charge. No contract for payment is formed by using it.

3.2 If we ever introduce paid features, they will be offered under separate terms that you must accept first. Free features you already use will not become paid without notice on the site.

4. Your Responsibilities

4.1 Prices and labor hours. The labor hours, part costs, rates, margins, tier multipliers and warranty texts in the tool are starting defaults for you to edit. They are not an industry standard and are not advice. You are solely responsible for the prices you quote and charge.

4.2 Taxes. The tool applies the tax rates and settings you enter. Tax rules differ by country, state and city. You are responsible for choosing the correct rates and treatment and for checking them with your accountant or tax authority.

4.3 Documents. You are responsible for the content of quotes and invoices you issue, including any legal information your jurisdiction requires on them, and for any agreement you make with your customers.

4.4 Customer data. If you enter personal data of your customers, you are the controller of that data and responsible for handling it lawfully on your device.

4.5 Backups. Data stored in a browser can be lost, for example when browser data is cleared or a device is lost or replaced. We cannot recover it. Download backups regularly from Settings.

5. Acceptable Use

You may not:

5.1 Attempt to disrupt, overload or gain unauthorised access to the website or its hosting;

5.2 Use the Service for any unlawful purpose, including issuing fraudulent quotes or invoices;

5.3 Remove or alter copyright notices, or present the Service as your own product.

6. Intellectual Property

6.1 The software, design, texts and default price book structure of the Service belong to us. You receive a free, non-exclusive, non-transferable right to use the Service for your business.

6.2 The data you enter, and the quotes, invoices and files you create with the Service, belong to you.

7. Third Parties

7.1 Payment links you paste into an invoice point to services you choose (for example a card processor). We are not a party to those services and are not responsible for them.

7.2 Product and company names mentioned on the site, including ServiceTitan, Housecall Pro, FieldEdge, Flat Rate Plus, FlatRateNOW, Intuit and QuickBooks, belong to their owners. We are not affiliated with them. Competitor prices shown on the site are as listed by the vendors or the named source on the stated date and may have changed.

8. Disclaimer of Warranties

8.1 The Service is provided free of charge and in the state in which it is available at the time of use.

8.2 We do not warrant that the Service is error-free or uninterrupted, that calculations suit your business or jurisdiction, or that exported files import into third-party software without adjustment. Check totals before you send a document to a customer.

9. Limitation of Liability

9.1 Unlimited liability: We are liable without limitation for damages arising from (a) intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit), (b) injury to life, body or health, (c) fraudulently concealed defects (§ 524 BGB), and (d) mandatory liability under applicable law, including the German Product Liability Act (Produkthaftungsgesetz).

9.2 Free service: Because the Service is provided free of charge, our liability is otherwise limited to intent and gross negligence, in line with § 521 BGB.

9.3 Data loss: We are not liable for loss of data stored in your browser where the loss would have been avoided by a regular backup.

9.4 The limitations in this Section also apply in favour of our agents and sub-contractors.

10. Data Protection

Our processing of personal data is described in the Privacy Policy, which forms part of these Terms.

11. Termination

You may stop using the Service at any time and delete your data from Settings or by clearing your browser data. We may block access to the website for anyone who breaches Section 5.

12. Dispute Resolution and Governing Law

12.1 Before starting any formal proceedings, please contact us at hello@hvacflatratepricingsoftware.com. We will respond within 14 days.

12.2 We are not obliged and not willing to take part in dispute resolution proceedings before a consumer arbitration board.

12.3 These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict of law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). Mandatory consumer protection rules of your country of residence remain unaffected.

12.4 For disputes with business customers, the exclusive place of jurisdiction is Berlin, Germany.

13. Miscellaneous

13.1 Severability: If any provision of these Terms is void or unenforceable, the statutory provision applies in its place (§ 306(2) BGB). The remaining Terms stay in force.

13.2 Changes: We may update these Terms. The current version is always at hvacflatratepricingsoftware.com/terms-of-service/ with the “Last Updated” date at the top. Continued use after a change means you accept the updated Terms.

13.3 Language: These Terms are provided in English.
